WFOE (Wholly Foreign-Owned Enterprise)
Definition
A WFOE is a mainland-registered company wholly owned by foreign investors. It holds a Chinese business license and qualifies as the legal operator on an ICP filing — for foreign brands, the typical filing holder. The holder must be a mainland-registered company or qualifying partner. A Hong Kong entity alone does not satisfy this requirement.
What the WFOE is
- The entity that holds a Chinese business license and serves as legal operator of record on the ICP filing. The WFOE bears both the filing obligation and the ongoing compliance duties — displaying the ICP number, updating the filing when domains or entities change, and serving as the legal operator for any digital product that requires mainland hosting.
- The typical foreign-brand filing holder, and the reason a Hong Kong entity cannot substitute. Every filing document — business license, domain certificates, responsible person ID, authorization letters — is keyed to the entity name. A mismatch between the entity name on the business license and the domain registrant surfaces as a query that must be resolved before review can complete. See the full entity-document rejection list for every certificate-side reason and its fix.
- The foundation of the launch chain. The entity decision leads to WFOE setup, which produces the business license. The license enables the filing.
- The entity that underpins WeChat operations. The same filed entity typically holds the WeChat Pay merchant account and underpins WeChat Mini Programs. The vehicle choice — Mini Program, H5, or native app — is a product decision layered on the same compliance foundation.
What the WFOE is not
- Not a Hong Kong company. A Hong Kong entity alone cannot hold the ICP filing. If the group operates in mainland China through a WFOE, the WFOE is the entity that holds the filing. The Hong Kong entity cannot substitute. Teams often discover this late, when the rest of the launch is otherwise ready.
- Not the filing itself. The WFOE is the entity; the ICP filing is a separate registration the entity holds. The filing registers the domain and its operator with the authorities, tied to a hosting provider and a legal operator.
- Not automatically an ICP license holder. The license trigger is what the product does, not the entity type. A WFOE that runs a brochure site needs the filing; whether it also needs the license depends on the product category.
Why the WFOE matters for foreign companies
The entity decision precedes everything else. Hosting contracts, launch dates, and filing submissions all depend on a qualified entity with a valid business license. With complete documents and a qualified entity, filing runs 2–4 weeks. Compressing the entity stage slips every downstream step.
Entity setup is the first workstream, not the last. The sequence runs: entity readiness, hosting selection, document preparation, submission and review, display and maintenance. Plan entity structure before you plan your launch date.
The same entity supports multiple operations. The WFOE that holds the ICP filing also typically holds the WeChat Pay merchant account and underpins Mini Programs. One entity foundation supports the website filing, the payment onboarding, and the WeChat vehicle. If the WFOE restructures or the entity name changes, the filing must be updated to match. Plan for this as ongoing maintenance, not a one-time event.
Common misconceptions
"Our HK entity can hold the filing." It cannot. The filing holder must be a mainland-registered company or qualifying partner. A Hong Kong entity alone does not satisfy this requirement.
"A WFOE automatically needs an ICP license." The license trigger is what the product does, not the entity. A WFOE running a brochure site needs the filing; the license depends on the product category.
"Setup can run parallel to launch." Entity setup is the first workstream, not the last. The business license must exist before any filing work begins. The entity decision comes before hosting contracts and launch dates. Compressing the entity stage slips every downstream step.
Frequently asked questions
What is a WFOE, and how does it differ from a Hong Kong entity?
A WFOE is a mainland-registered company wholly owned by foreign investors. It holds a Chinese business license and qualifies as the legal operator on an ICP filing — the filing holder must be a mainland-registered company or qualifying partner. If a group operates in mainland China through a WFOE, the WFOE holds the filing; the Hong Kong entity cannot substitute.
When is a WFOE required for the China stack?
A WFOE is required when you need a mainland entity to hold the ICP filing — the mandatory registration for most websites hosted on mainland servers. The same filed entity typically holds the WeChat Pay merchant account and underpins WeChat Mini Programs. Entity setup is the first workstream: the business license must exist before any filing work begins.
What does a WFOE enable — filing, WeChat Pay, Mini Programs?
The WFOE is the foundation of the launch chain. The entity decision leads to WFOE setup, which produces the business license. The license enables the ICP filing. The same filed entity typically holds the WeChat Pay merchant account and underpins Mini Programs. One entity foundation supports the website filing, the payment onboarding, and the WeChat vehicle.
What is the timeline commitment from entity setup to live filing?
Entity setup is the first workstream, not the last. With complete documents and a qualified entity, filing runs 2–4 weeks. That window only starts once a qualified entity and complete documents are in hand. Compressing the entity stage slips every downstream step.
What happens if we try to use our Hong Kong entity instead of setting up a WFOE?
The launch stalls. A Hong Kong entity alone cannot hold the ICP filing. Hosting is provisioned, the site is built, but no mainland entity exists to hold the filing. Document mismatches between the entity name and the domain registrant surface as queries that must be resolved before review can complete. The filing holder must be a mainland-registered company or qualifying partner.
How much does WFOE setup cost?
This site does not publish WFOE setup-cost figures. Quotes come from corporate-services providers and counsel and vary case by case. What matters for planning is sequencing: entity setup is the first workstream, and the business license must exist before any filing work begins. With complete documents and a qualified entity, the filing itself runs 2–4 weeks. One entity supports the website filing, the WeChat Pay merchant account, and Mini Programs.
