Business License (营业执照)
The business license (营业执照) is the registration document that a mainland-registered company holds. For foreign brands entering mainland China, it sits at the head of the entry chain: entity setup produces the license, the license enables the ICP filing, and the filing enables the domain to stay online on mainland servers. The same document is required for WeChat Pay onboarding and for cloud real-name verification.
This page defines what the document is, where it sits in the China-entry chain, and how it differs from the four terms readers most often confuse it with. It does not cover WFOE setup mechanics, filing procedures, or license classification.
What the business license is
A mainland-registered company holds a business license. The WFOE — a mainland-registered company wholly owned by foreign investors — is the typical holder for foreign brands. The site's glossary pages use this same framing.
The license is a document, not an entity. It is the certificate the company holds once registration completes. The WFOE is the company; the business license is what the company holds.
Issuer. This page does not name the issuing authority. When this page was researched (2026-10-03), the SAMR English portal (english.samr.gov.cn, HTTP 403) and the National Enterprise Credit Information Publicity System (gsxt.gov.cn, HTTP 521) were both unreachable, so no primary source on the issuer is cited here. One vendor document quoted on this site refers to a "State-registered business license" — that phrasing stays inside the vendor quote.
Business license vs. four terms readers confuse it with
| Term | What it is | How it differs from the business license |
|---|---|---|
| WFOE | The mainland-registered company itself | The WFOE is the entity; the business license is the document the entity holds. |
| ICP filing (Bei'an / 备案) | The registration of a mainland-hosted domain and its operator with MIIT | The filing is a separate registration the entity holds. The business license is an upload required to obtain the filing. |
| ICP license (ICP证) | A separate permit for commercial online platforms and paid services | The license trigger is what the product does, not the entity type. The business license is the entity document; the ICP license is a product-level permit. |
| Hong Kong Business Registration Certificate | The Hong Kong equivalent registration document | For WeChat Pay's overseas-direct path, Hong Kong applicants submit a "Business Registration Certificate (Hong Kong applicants only)" — a different document from the mainland business license. A Hong Kong entity alone cannot hold an ICP filing. |
Where the business license sits in the China-entry chain
The launch sequence is fixed. Entity setup produces the business license. The license enables the ICP filing. The filing enables the domain to stay online on mainland servers.
The license must exist before filing work begins. "The entity must be registered and hold a valid business license before any filing work begins". This rule repeats across the filing timeline, entity comparison, and glossary pages.
You cannot submit a filing against an entity that does not yet exist
What the business license does at ICP filing time
At filing time, the business license is a mandatory upload. Alibaba Cloud's ICP filing documentation states: "ID cards, business licenses, and other qualification certificates are mandatory. Upload these during the filing process".
The Alibaba documentation specifies the following for enterprise filings:
- Document type. "A qualification certificate for the sponsoring entity, such as a business license".
- Filing type. "If you select Government Agency, Public Institution, Enterprise, or Social Organization as the Filing Type, prepare the documents required for an enterprise filing".
- Validity. "Document expiration date (ID cards, business licenses, etc.): Must remain valid for at least three months after your ICP filing submission".
- Format. Supported formats are JPG, JPEG, PNG, and GIF; file size 200 KB to 4 MB.
- Scope. "If your Alibaba Cloud resources are outside the Chinese mainland (such as Hong Kong (China) or overseas regions), no ICP filing is required".
These are Alibaba Cloud's stated filing-document requirements, not MIIT regulation.
Entity-name keying. Every filing document is keyed to the entity name — the license must name the entity that will hold the filing. Document mismatches — a business license naming a different entity, a domain certificate with the wrong registrant — come back for correction.
Where else the business license appears
The business license is required beyond the ICP filing:
- WeChat Pay (mainland path). "Required documents: business license, corporate bank account, and legal-representative ID".
- Cloud real-name verification. Azure China's vendor documentation requires "a State-registered business license … for real name verification" for business entity users.
- Filing document checklist. The fixed set — business license, domain certificates, responsible person identification, and authorization letters — recurs across the filing pages.

- The ICP filing pipeline (provider review, MIIT SMS verification, provincial Communications Administration review). Owned by the ICP filing timeline and the MIIT glossary page.
- ICP license / VATS-EDI permit classification. Owned by the ICP license glossary page and the ICP filing vs ICP license article.
- License format details (unified social credit code structure, 正/副本 duplicates, seal layout). No banked primary supports these claims.
- Renewal, annual-report (年报), or validity-period timelines. Not banked on-site or from fetched primaries.
- Public verification via gsxt.gov.cn or SAMR portals. Both returned errors on access (2026-10-03). No verification-procedure claims until a rendered fetch banks a primary.
- Penalties for operating without a license. Not banked.
Frequently asked questions
Do I need a business license before starting the ICP filing?
Yes. The entity must be registered and hold a valid business license before any filing work begins. You cannot submit a filing against an entity that does not yet exist. Entity setup is the first workstream in the China launch, not the last.
Is a Hong Kong Business Registration Certificate the same as a mainland business license?
No. They are separate documents issued under different jurisdictions. For WeChat Pay's overseas-direct path, Hong Kong applicants submit a "Business Registration Certificate (Hong Kong applicants only)" — not the mainland business license. A Hong Kong entity alone cannot hold an ICP filing.
Can I use a business license from one entity to file under a different entity name?
No. Every filing document is keyed to the entity name — the license must name the entity that will hold the filing. Document mismatches — a business license naming a different entity — come back for correction.
Does the business license need to remain valid after I submit the filing?
Alibaba Cloud's documentation states that the business license "must remain valid for at least three months after your ICP filing submission". This is Alibaba's stated requirement, not a MIIT regulation quoted on this site.
Do I need a business license if my servers are outside mainland China?
No. Alibaba Cloud's documentation states: "If your Alibaba Cloud resources are outside the Chinese mainland (such as Hong Kong (China) or overseas regions), no ICP filing is required". Without a filing obligation, the ICP filing step does not require a business license. See Reach China Without ICP Filing for what changes when hosting stays offshore.
