ICP License (ICP证)
Definition
An ICP license (ICP证) is a separate permit for commercial online platforms and paid services — marketplaces hosting third-party sellers, platforms charging for access, and certain regulated categories. The trigger is what the product does, not where it is hosted. It is a separate, longer permit process with its own requirements and renewal duties. A licensed platform is still mainland-hosted, so the license is a layer on top of the baseline ICP filing.
What the ICP license is
- A permit for commercial activity on top of a website. It covers marketplaces that host third-party sellers, platforms that charge for access, and certain regulated business categories.
- Triggered by product function, not hosting location. A global-only paid product still requires the assessment.
- A separate, longer permit process. The timeline extends beyond the 2–4 week filing window. Plan launch dates accordingly.
- Typical products that trigger it: marketplaces, paid platforms, and regulated categories.
- Marketplaces often sit near a second permit: processing third-party transactions can also trigger the VATS / EDI license (B21), the catalog's online data-processing and transaction-processing category.
- Entity requirement matches the filing baseline — a mainland company (e.g. WFOE) or qualifying partner — but you must confirm category eligibility with counsel before applying.
What the ICP license is not
- Not the filing. The ICP filing (Bei'an) registers a mainland-hosted site. The license permits commercial online platforms and paid services. They are different instruments with different triggers, timelines, and ongoing duties — never interchangeable. See ICP Filing vs ICP License for the full decision table.
- Not hosting-dependent. The license trigger follows what the product does. A company that operates only outside mainland China still assesses the license if its product model matches the criteria.
- Not automatically triggered by any checkout. Own catalog with checkout: the license depends on the business model. SaaS or paid platform: likely — verify for your category. Marketplace with third-party sellers: license territory. A simple product sale does not always cross the threshold.
- Never a replacement for the filing. A licensed platform is still a mainland-hosted site. The license sits on top of the baseline filing, not in its place.
Why it matters for foreign companies
Classification decides the launch calendar. The difference between "filing only" and "filing plus license" is the difference between a 2–4 week wait and a separate, longer permit process. Make the classification before signing hosting contracts, not during launch week. On the filing side of the calendar, the ICP filing timeline estimator shows which phase gates your launch.
Paid Mini Programs, H5, and apps trigger the same assessment. If a Mini Program sells goods or services, assess whether the ICP license is also needed. If an H5 site runs a transaction platform, classify early. If an app offers paid services, assess the license. The compliance picture does not change with the vehicle — ICP and entity requirements still apply regardless of whether the product ships as a Mini Program, an H5 page, or a native app.
WeChat Pay merchant onboarding rides the same entity and filing foundation. The same filed entity underpins WeChat Pay setup. The license assessment sits on top of that base when the product model requires it.
Common misconceptions
"Checkout always needs a license." Not always. Own catalog with checkout: the license depends on the business model. Classify early rather than assuming.
"License instead of filing." The license is a layer on top of the filing, not a substitute. You need both when the product triggers the license.
"It's only about hosting." The trigger follows the product, not the server location. A product assessment determines whether the license applies regardless of where infrastructure sits.
Frequently asked questions
What is the ICP license and how does it differ from the ICP filing?
The ICP license (ICP证) is a separate permit for commercial online platforms and paid services. The ICP filing (Bei'an) registers a mainland-hosted site. They are different instruments with different triggers, timelines, and ongoing duties. Most marketing and content sites need only the filing; most transaction platforms need to assess the license.
Is ICP registration the same as a commercial ICP license?
ICP registration usually means the ICP filing (Bei'an), the mandatory registration for most websites hosted on mainland servers. A commercial ICP license means the ICP license (ICP证) itself, the separate permit for commercial online platforms and paid services. They are different instruments with different triggers, timelines, and ongoing duties. Most marketing and content sites need only the filing; most transaction platforms need to assess the license. See Bei'an (ICP Filing) and ICP Filing vs ICP License for the full comparison.
What products trigger the ICP license?
Marketplaces that host third-party sellers, platforms that charge for access, and certain regulated business categories trigger the license. SaaS and paid platforms are likely. A simple product sale does not always cross the threshold. The trigger follows what the product does, not where it is hosted.
Who can hold the ICP license?
The entity requirement matches the filing baseline: a mainland company (e.g. WFOE) or qualifying partner. Category eligibility must be confirmed with counsel before applying. The same filed entity that holds the ICP filing typically also underpins the license and WeChat Pay merchant onboarding.
How does the ICP license relate to the VATS / EDI (B21) license?
Marketplaces that process third-party transactions can trigger both permits. The ICP license covers commercial online platforms and paid services. The VATS / EDI license (B21) covers online data processing and transaction processing under the MIIT telecom catalog. They are separate instruments with separate applications.
Do Mini Programs, H5 pages, or apps change the license assessment?
No. If a Mini Program sells goods or services, assess whether the ICP license is also needed. If an H5 site runs a transaction platform, classify early. If an app offers paid services, assess the license. The compliance picture does not change with the vehicle.
